PUBLIC OFFER AGREEMENT FOR THE PROVISION OF HOTEL SERVICES

Individual entrepreneur Kolisnychenko Andriy Ihorovych, registered in accordance with the legislation of Ukraine, registered in the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Organizations dated 27.10. 2023 No. 2000660000000064593, hereinafter referred to as the “Contractor”, on the one hand, and any person or his authorized representative who joins this Agreement in the manner specified herein, hereinafter referred to as the “Customer”, on the other hand, hereinafter referred to as the “Parties”, have entered into this Agreement as follows.

  1. TERMS AND CONCEPTS

1.1. The public offer agreement for the provision of hotel services is an agreement under which the Contractor (individual entrepreneur Kolisnychenko Andrii Ihorovych) undertakes to provide temporary accommodation and accommodation services at the MANHATTAN HIGH LINE APART hotel to each Customer who applies to the Contractor. The terms of this agreement are the same for all Customers, except for those who are granted benefits in accordance with the law.

1.2. The agreement of accession to the public offer agreement for the provision of hotel services is an agreement, the terms of which are established by the Contractor, and which is concluded by the Customer's acceptance of the terms of this agreement in full, which is confirmed by making payment for the services provided.

1.3. The moment of conclusion of the adhesion agreement is the moment of crediting funds to the Contractor's account in accordance with the invoice.

1.4. Hotel services - the Contractor's actions for the accommodation and temporary residence of the Guest in the hotel, as well as other services related to accommodation.

1.5. Consumer (Guest) is an individual who uses the services of the hotel for his/her own (domestic) needs.

1.6. Room - a separate furnished room for temporary accommodation.

1.7. Reservation - a preliminary order by the Customer of hotel services in a certain amount, in order to use the services within a certain period of time.

1.8. Cancellation is the refusal of the booked services.

1.9. Non-refundable rate - the established cost of basic hotel services, which provides for mandatory prepayment and is non-refundable in case of cancellation or non-arrival of the Guest to the hotel.

  1. SUBJECT MATTER

2.1. The Contractor (individual entrepreneur Kolisnychenko Andrii Ihorovych) undertakes to provide the Customer with hotel services at the MANHATTAN HIGH LINE APART Hotel, located at: 11 Beresteysky Avenue, Kyiv, 04116, Ukraine, on the terms of this Agreement.

2.2. From the moment the Customer credits the funds to the Contractor's account for the provision of hotel services in accordance with the invoice, it is considered that the Customer has joined this agreement, agreed to all its terms and has no claims or comments regarding the terms set forth herein.

  1. BOOKING PROCEDURE AND MUTUAL SETTLEMENTS

3.1. The reservation of rooms is made by the Customer's full consent to the terms of this agreement.

3.2. The room is considered booked if the Contractor has provided a written confirmation of the reservation.

3.3. The reservation is considered guaranteed only after the Contractor receives 100% prepayment for accommodation under the terms of the tariff chosen by the Customer.

3.4. In case of the Customer's refusal from the services or non-arrival to the hotel under the terms of the non-refundable tariff, the funds are not refundable.

3.5. For group bookings (10 people or more), payment may be deferred, but no more than 7 days before the date of arrival. In the absence of payment, the reservation is canceled automatically.

3.6. Payment of commissions and interest related to the transfer of funds is made by the Customer.

  1. RIGHTS AND OBLIGATIONS OF THE PARTIES

4.1 Customer's rights:

4.1.1. To demand from the Contractor the proper quality of services in accordance with the terms of the Agreement.

4.1.2. To refuse hotel services without refunding the amount of prepayment at a non-refundable rate.

4.2. Rights of the Contractor:

4.2.1.To settle the Guest in another room of the same or higher category without changing the cost of living.

4.2.2. To recover compensation in case of damage to the hotel property.

4.2.3. Refuse to accommodate or terminate the contract in case of violation by the Customer of the terms of the contract or the Hotel Rules.

4.3. Responsibilities of the Customer:

4.3.1.To comply with the terms of this contract and the Hotel Rules.

4.3.2. To make timely payments for services.

4.3.3. To be responsible for any damage caused to the property of the hotel.

4.4. Responsibilities of the Contractor:

4.4.1. Provide hotel services of proper quality.

4.4.2. Ensure proper technical condition of the rooms and their preparation for check-in.

  1. RESPONSIBILITY OF THE PARTIES

5.1. In case of violation of the terms of this Agreement, the parties shall be liable in accordance with the current legislation of Ukraine and this Agreement.

5.2. The Customer is obliged to compensate the Contractor for the damage caused to the property of the hotel in accordance with the invoice and the property damage report.

  1. FORCE MAJOR

6.1. The Parties shall not be liable for failure to fulfill their obligations in the event of force majeure, which shall be confirmed by the relevant certificate of the Chamber of Commerce and Industry.

  1. OTHER TERMS AND CONDITIONS

7.1. The relations of the Parties not regulated by this Agreement shall be governed by the current legislation of Ukraine.

7.2. The term of this agreement is determined by the Parties until the full fulfillment of their obligations, and in terms of payment - until the full settlement between the Parties.

7.3. The Parties undertake to ensure the confidentiality of information obtained in the course of the implementation of this Agreement.
